Changing an Irish company name is a formal corporate process, not a branding edit. The company must approve a special resolution, prepare an updated constitution, submit Form G1Q and wait for the CRO’s certificate before using the new registered name.
StartCompany.ie’s €550 service prepares the resolution and filing package for a routine change of name. The proposed name remains subject to CRO approval, and trademark or contractual issues require separate checks.
Check the proposed name before approving it
Search CORE for identical and similar company and business names, then search the IPOI trademark register and relevant domains. CRO approval does not decide every intellectual-property or passing-off question.
Restricted, misleading, offensive or state-associated wording may need evidence or consent. Prepare alternative names so a rejection does not stall the commercial timetable.
Special resolution, G1Q and constitution
A company changes its name by special resolution with the Registrar’s approval. The CRO requires Form G1Q, the amended constitution and the applicable filing fee, and the company must be up to date with annual returns.
The current legal name should remain on contracts, invoices and filings until the digital certificate is issued. The change takes effect from the date on that certificate.
- Search the proposed name and relevant trademarks.
- Pass and document the special resolution.
- Prepare the amended constitution.
- Submit Form G1Q and supporting documents.
- Wait for the certificate before using the new legal name.
Updating the business after approval
The company number and legal entity stay the same. Update Revenue, banks, insurers, licences, contracts, invoices, websites, email signatures and data-protection notices after the certificate issues.
Review whether counterparties require formal notice or consent. A registered name change does not automatically amend every contract, domain, trademark or bank mandate.
