How to Change Your Company Name

A company name change requires a special resolution and approval by the Registrar. At a meeting, a special resolution requires at least 75% of votes cast by members entitled to vote; written approval has its own rules. The proposed name must be acceptable to the CRO, and the company must be up to date with annual returns before the change can be approved.

The Process

• We check the availability of your proposed new company name with the CRO
• A special resolution is drafted for the shareholders to approve the name change
• The members approve the special resolution under the applicable voting and notice rules
• We prepare the amended constitution and submit Form G1Q and the required filing material
• The CRO issues the certificate of change of name following approval

After the Name Change

Once the name change is registered, you will need to:

• Update your company's letterhead, website, and marketing materials
• Notify your bank, Revenue Commissioners, and other relevant parties
• Update any business name registrations if applicable
• Order a new company seal if you use one

Timeline

Timing depends on preparation, shareholder approval and CRO processing. The new name is effective from the date on the CRO certificate and may not be used before it is issued. We provide the certificate following approval; we do not guarantee a fixed CRO completion date.
