You are forming an Irish LTD and the person you trust to handle company administration lives outside Ireland. Or your existing secretary is moving abroad. Must you replace them with someone in Ireland, and would buying an Irish secretary service solve every compliance question?

The useful distinction is between where the secretary lives and whether the appointment and administration actually work. This guide concerns an ordinary private company limited by shares, not the additional qualification rules for a PLC. It helps you compare a suitable overseas appointee with professional support without confusing the secretary with a director, registered office or accountant.

1. Separate secretary residence from director residence

The company-law position follows from two different provisions. Section 129 governs secretaries, including appointment and the directors' responsibility to select someone with suitable skills or resources. Section 137 separately addresses an EEA-resident director and its statutory alternatives. Reading the director rule as an Irish-residence requirement for every officer gives the wrong answer.

An overseas secretary does not automatically require an Irish replacement simply because of their address. Equally, appointing an Irish secretary does not supply an EEA-resident director. If the proposed secretary is also a director, assess the director position separately rather than treating the secretary appointment as the solution.

Start by identifying the actual problem: an unavailable administrator, an incomplete appointment, records inaccessible in Ireland, or a director-residence issue. These require different work. Do not purchase a local name on a form when what is missing is a functioning records and filing process.

2. Check the proposed person, not just their willingness

For an individual secretary, section 131 requires an age of at least 18. Section 132 addresses an undischarged bankrupt acting as secretary, with a court-leave provision. Any bankruptcy, disqualification or other eligibility concern should be reviewed before appointment; living abroad is not a reason to skip those checks.

An ordinary LTD secretary does not need a particular professional qualification simply to hold the office. That is not the same as having no responsibilities. Ask whether the person can understand instructions, maintain reliable records, recognise a deadline and obtain specialist help when a transaction exceeds their competence.

The board should know what resources are genuinely available. A friend with no Irish filing experience may be willing but unable to handle a time-sensitive officer change. An experienced overseas administrator with agreed local support may be better organised. Neither a family connection nor a professional-looking email signature settles suitability.

A corporate secretary is also possible, but identify the actual legal entity being appointed rather than only its trading brand. CRO guidance distinguishes a body corporate acting for another company from a company trying to act as its own secretary. Confirm the appointee's details and responsibilities before signing.

3. Complete a real appointment and obtain consent

For a new company, the first secretary is identified through the incorporation process. Section 22 requires the proposed officer details and accompanying consent. CRO guidance describes the first secretary information as part of Form A1. Do not put somebody's name into the application because you assume they will agree later.

For an existing company, distinguish the board's appointment from notifying the CRO. Section 149 requires notification of relevant officer changes within 14 days and a signed consent for an appointment. CRO uses Form B10. A quote, checkout receipt or discussion by video call is not the completed appointment record.

Section 226 requires the secretary's consent to acknowledge legal duties. Give the proposed appointee the role description and let them review what they are accepting. Check how the presenter requires the consent to be completed; do not assume every electronic-signature tool is acceptable for every statutory document.

Retain the decision, effective date, consent and filing evidence together. If replacing a secretary, coordinate the outgoing and incoming arrangements and records handover. Do not invent an earlier date to make a late filing appear timely. Flag an existing gap or disputed departure before ordering routine appointment work.

4. Keep the Irish office and record locations separate

The secretary's overseas home does not become the company's Irish registered office. Section 50 requires a registered office in the State. Agree who receives notices there, how urgent mail reaches the relevant director and who acts if the secretary is unavailable.

Section 216 also governs where specified registers and documents are kept, including the members' register, officer register and meeting minutes. Its permitted locations are within the State, including where another person keeps them for the company. Remote access does not remove that location requirement.

CRO's register-location guidance describes Form B3 notifications when relevant records are held away from the registered office or their notified location changes. Check the actual records arrangement, not just where the secretary logs in. A shared cloud folder by itself does not establish that the company has met the Irish keeping and inspection requirements.

Ask the provider whether its engagement includes maintaining particular records, providing an Irish location, handling inspection requests or merely giving guidance. Those are different commitments. An address-only service should not be treated as a complete statutory-record service without agreement.

4. Keep the Irish office and record locations separate
QuestionWhat to establish
Where does the secretary live?Correct officer details and availability
Where is the registered office? An Irish address and notice handling
Where are statutory records kept?Irish location, access and any B3
Who satisfies the director rule?Director residence or valid alternative

5. Agree a remote working process before the first deadline

Make the work concrete. Identify who drafts a record, who supplies the facts, who approves it, who signs and who checks that a filing was accepted. A reminder saying 'annual return due' is not the same as instructing and completing the return.

Agree ordinary contact hours, an urgent escalation route and cover for holidays or illness. The important issue is whether a notice received in Ireland reaches a person able to act, not whether everyone happens to share a time zone. Keep contact details current and test the handover before relying on it.

Use secure document access and appropriate authority for each filing system. Do not share a director's personal credentials as an informal substitute for presenter authority. Establish how originals, signed documents and final copies will be delivered, retained and retrieved when needed.

These are practical controls, not additional statutory residence conditions. They help the board decide whether the proposed arrangement is workable. If nobody can explain who owns an urgent task, adding the secretary's name to the register will not fix that operational gap.

6. Moving abroad is not automatically a resignation

Suppose your current secretary remains willing and able to act after relocating. First review their continuing eligibility, engagement and support arrangements. A move does not, by itself, mean you must manufacture a resignation and new appointment merely to replace an overseas address with an Irish one.

An individual's usual residential address is among the secretary particulars in section 149, subject to the applicable exemption provisions. Changes must be handled through the correct officer-update process. Do not substitute the company's address merely because a provider permits registered-office use.

If the secretary moves the company's records as well, that raises the separate Irish record-location question. If they are also a director, reassess the director-residence position. One relocation can therefore require several reviews without meaning that every review has the same filing or deadline.

Treat privacy, availability and resignation as separate decisions. If the person actually wants to stop acting, use a proper replacement and continuity process instead of leaving them named indefinitely because nobody has arranged the handover.

7. Compare an overseas appointee with professional support

Consider two fictional LTDs. In the first, the sole director has a separate, eligible overseas colleague who understands the role, has reliable support and agrees the Irish records arrangement. The useful question is whether that arrangement meets the company's needs, not whether a paid Irish appointment is automatically mandatory.

In the second, the sole director proposes naming themselves twice, once as director and once as secretary, using a different address. That does not create a different appointee. Section 129's sole-director restriction still applies. A suitable separate individual or corporate secretary is needed.

Professional support may be sensible where there is no suitable appointee, administration is repeatedly missed or the board needs a defined support arrangement. Compare actual deliverables, response arrangements, renewal terms and handover obligations, rather than the nationality or location of a name on the form.

Directors retain their own compliance duty under section 223. A professional secretary is not an insurance policy against every filing failure. Ask what information you must supply and which decisions require a director's approval; a service cannot reliably act on events it has never been told about.

8. Prepare a useful appointment brief

Before asking for a quote, explain whether the company is being formed, already has a secretary, or needs an urgent replacement. Give the company number if incorporated and identify any pending return or officer change. Use the provider's secure channel for personal documents, not a public link to the complete company records.

Work through these checks before committing to an appointment:

  • Identify the exact individual or corporate appointee and confirm eligibility and informed consent.
  • Confirm that the sole director is not also proposed as the secretary.
  • State where the directors reside and keep that assessment separate from secretary selection.
  • Document the Irish registered office, mail escalation and statutory-record locations.
  • List outstanding filings, missing records and any B10 or B3 work needed.
  • Agree signing, secure access, contact hours, absence cover and completion evidence.
  • Separate the annual appointment from return preparation, accounts, address services and transaction work.
  • Confirm the engagement start, renewal, exit arrangements and total payable.

9. Choose the service for the gap you actually have

StartCompany.ie's Company Secretary Service Ireland provides a 12-month nominee secretary engagement with compliance reminders, officer-filing guidance and statutory-record guidance. Review the published details and total payable before ordering, and explain any overseas-working or existing-officer arrangement that needs review.

Annual return preparation, registered-office services, share changes and other filings are separate unless expressly agreed. A secretary-change filing service is also distinct from the ongoing appointment. Buying the annual engagement does not automatically order every separate filing or reconstruct historic records.

If you are forming a new LTD, compare the formation packages and confirm which secretary support is included before ordering overlapping services. If you already have a capable secretary abroad, ask about the specific filing or records assistance needed instead of assuming a replacement is required.

Keep the outcome modest and verifiable: a properly agreed appointment and a workable administration plan. It does not guarantee incorporation approval, tax treatment, company residence, banking access or immigration permission, and it does not remove the board's responsibilities.

Official information and next steps

CRO guidance and revised Companies Act provisions were checked on 29 October 2026. The residence conclusion distinguishes the secretary provisions from the director rule; it is not a suitability assessment for a particular appointee. This guide concerns an ordinary Irish LTD and provides general appointment-preparation information, not advice on disputed appointments, personal eligibility, cross-border tax, employment or data-protection obligations.

Frequently asked questions

Must an Irish LTD's company secretary live in Ireland?

No general Irish-residence condition is imposed on the secretary by section 129. Assess the proposed appointee's eligibility, suitability and practical arrangements. The director-residence rule is a separate question.

Can a sole director abroad also be the secretary?

No. A sole director needs a different secretary. Using two addresses or describing the second role differently does not make the same person a separate appointee.

Does an Irish secretary satisfy the EEA-resident director requirement?

No. A secretary appointment alone does not fill a director role. Check the actual directors and any valid statutory alternative separately.

Can a family member overseas act as secretary?

Potentially, if eligible, suitable, informed and properly appointed. Willingness or a family connection alone does not establish the skills, resources and availability the company needs.

Can all statutory registers move abroad with the secretary?

Do not assume so. Section 216 requires the specified records to be kept within the State. Confirm the Irish location, access arrangements and any B3 notification separately from remote working.

Does an existing secretary have to resign when moving abroad?

Not automatically. Review continuing eligibility and the working arrangement, update relevant particulars, and check any separate records or director-residence consequences.

Does a video call or service order appoint the secretary?

Not by itself. Complete the appropriate appointment, consent, internal records and CRO notification process, and retain the evidence.

Does the annual secretary service include filing my annual return?

Not automatically. StartCompany.ie's published annual appointment separates annual-return preparation and other filings unless expressly agreed. Confirm responsibilities and total payable before instruction.
