
An Irish LTD can be useful for a US SaaS founder building a genuine European operation. It may contract with EU customers, employ an Irish team and own or license software rights. But an Irish company is not required for every EU subscription and does not, by itself, solve VAT, privacy, payments or US tax reporting.
The decision is really about the operating model. This guide helps a US citizen compare direct sales by an existing US entity with forming an Irish company, then identify the work that must happen before subscriptions are switched to a new legal seller.
Do EU customers alone justify an Irish company?
Not automatically. A US software company can sometimes sell into the EU without a separately incorporated Irish LTD, while still needing to consider EU VAT, consumer, privacy and local activity rules. A subsidiary becomes more compelling when there is a real Irish workforce, commercial leadership, local contracts, investment, service delivery or other Irish operation. Decide what the Irish company will do that the US entity will no longer do.
Create a one-page map of customer locations, developers, support team, board decisions, servers, contracts and payment flows. The CRO requires an Irish company to have an intended activity in the State; a mailing address is not the activity. If the proposed Irish entity merely receives revenue while product decisions and execution remain in the United States, obtain tax advice before forming it.
Choose the board and legal structure before filing
A US citizen may subscribe for shares personally or through a US company. The Irish LTD needs its own directors and secretary, and a sole director cannot also be the secretary. The CRO normally requires one EEA-resident director. If every proposed director genuinely lives in the United States, the company generally needs the Section 137 bond route at incorporation unless another statutory exception applies. Citizenship does not determine the result; actual residence does.
The formation application uses Form A1 and a constitution. State the genuine Irish activity, registered office and ownership accurately. If a US entity owns the shares, identify who has authority to sign for it and trace the ownership chain to natural persons for RBO and banking purposes. A subsidiary is separate from its US parent even if it is wholly owned.
Do not move software IP by changing the invoice header
A new Irish company does not automatically own code, trademarks, domains, customer data or subscriptions that belong to the founder or an existing US company. Decide whether the Irish entity will own the IP, license it, distribute the product or provide services to the US company. Each route needs appropriate legal documents and can have different US and Irish tax results. A transfer of software or other intangible property may have US reporting and valuation implications.
Make the legal seller in the terms of service match invoices, receipts, payment-provider records and refund responsibility. If customer contracts must move between entities, review notice or consent requirements first. Intercompany royalties, engineering, marketing or management charges should reflect actual work and be documented on supportable terms; Revenue applies an arm's-length principle to related-party transactions.
Separate EU business customers from consumers for VAT
Revenue says the general B2B services rule usually places the supply where the business customer is established, subject to exceptions. Verify customer business status and VAT details before applying an invoicing rule. For genuinely automated electronically supplied services to consumers in other EU member states, the place of supply can follow the customer's location, subject to Revenue's conditions for the EUR 10,000 threshold.
Ireland's Union One-Stop Shop can simplify reporting VAT due on qualifying cross-border EU B2C supplies by an Irish-established seller. It is not a universal substitute for every VAT registration or every kind of service. Human-led onboarding, consulting, implementation or mixed packages may need separate classification. If the existing US company continues selling to EU consumers, the appropriate non-EU supplier rules also need review; incorporating an Irish subsidiary does not retroactively change the US seller's prior sales.
Model Irish and US tax and people costs together
Irish Revenue generally deems a company incorporated in Ireland after 1 January 2015 to be Irish tax resident unless a double taxation agreement treats it as resident elsewhere. Actual US management, employees and group services can still create US tax questions. A US citizen also generally remains within US worldwide-income filing rules even when living abroad. The IRS says certain US persons connected with foreign corporations must file Form 5471; which category applies depends on ownership and other facts.
Do not compare only headline corporation tax rates. Model salary, dividends, US owner-level tax, cross-border royalties, development costs, payroll and compliance. If software developers in the United States work for the Irish LTD, address employment, intellectual-property ownership and any US tax presence. The Ireland-US treaty may help with some double-tax questions, but it does not eliminate all reporting.
Launch sequence and evidence for payments
Before filing, choose the customer-contracting entity, software-rights plan, board, secretary and genuine Irish activity. Obtain US and Irish tax and VAT advice. Then file Form A1 and the constitution, complete RBO and relevant Revenue registrations, put IP and intercompany agreements in place, and migrate customer terms and payments carefully.
A merchant or bank may request the CRO certificate, ownership chart, founder identity, website, product description, customer countries, chargeback policy and source of funds.
