If the CRO returns your Form A1, first read the exact reason and establish whether the company has actually been incorporated. A pending application needing correction is not the same as an error discovered after a certificate has issued. The right next step depends on that distinction.
For a founder ready to launch, the temptation is to change one field and press submit again. That can leave the constitution, identity information or bond inconsistent with the revised application. A coordinated correction is more useful than a hurried second attempt.
This guide is for people whose Irish company incorporation application has been returned or queried. It complements our general Form A1 preparation guide, rather than replacing the actual CRO notice. Official sources were checked on 15 October 2026. Disputed facts, registered-document errors and complex ownership need individual professional advice.
1. Save the notice and identify the application's actual status
Keep the CRO message, submission reference, submitted A1, constitution, attachments and payment record together. Check the current CORE status with the presenter who lodged the application. Do not infer incorporation from a payment receipt, an email saying documents were received or a name-search result.
For an LTD, section 25 connects corporate existence with the incorporation date in its certificate. While an application is pending, avoid representing the proposed company as already incorporated. If a customer contract cannot wait, obtain advice on who signs and who bears liability; our pre-incorporation contracts guide explains the separate issue.
Create a short issue log: what the notice says, which document contains the problem, who must supply the correction and who will confirm submission. This practical record also makes a later professional handover easier.
| Check | Keep |
|---|---|
| Status | CORE record |
| Reason | CRO notice |

2. Does every returned A1 have a 14-day correction deadline?
No. Section 898 gives the Registrar discretion to issue a notice identifying non-compliance, or not to issue that notice. Where the relevant notice is served, the section provides for a complying replacement within 14 days after the date of service. If its conditions are not met, the original document is deemed not delivered.
That is not a blanket 14-day entitlement for every portal error, name refusal or rejected submission. Read the actual notice, confirm how its service date and deadline apply, and obtain clarification promptly if the instructions are unclear. Do not substitute the rules for a returned annual return, Form B1, for the instructions on an incorporation application.
Set an internal target earlier than the stated deadline so there is time to resolve missing information. Do not assume opening a support query stops a clock or that uploading an incomplete replacement preserves the original submission.
3. A name refusal needs more than adding Services or Holdings
CRO's name guidelines explain that weak qualifications, including holding, group and services, may not distinguish an application from an existing company name. Slight spelling changes, punctuation or a place name are not reliable solutions either. These words are not universally forbidden, but they are not an automatic route around a similarity objection.
Read the particular objection and develop alternatives with a genuinely distinctive core. Check business-name and trade-mark conflicts separately. A no-match result in a company-name search is not final CRO approval.
Once you choose a revised name, make a list of every place it appears. Ask the presenter to reconcile the application, constitution and any supporting documentation before resubmission, rather than treating the name field as an isolated edit. Our naming guides provide a fuller shortlisting method.
4. If a bond accompanied the A1, review it before changing the name
CRO specifically says that when an application with a bond is returned because the proposed name is unavailable, a new or amended bond matching the new proposed name must be supplied before incorporation. It also says the bond must be effective at incorporation and that bonded A1 applications cannot be prioritised.
Contact the bond provider with the return reason and the revised plan. Ask it to check the name, effective dates and appropriate document execution; do not alter an issued bond yourself. An application delay may affect a time-sensitive document even where the new name is acceptable.
For example, changing the name on CORE but attaching the old-name bond does not address the whole problem. Agree who will obtain and submit the corrected bond before sending the application back.
5. Resolve identity mismatches at their source
Check spelling, name-part order, middle names and date of birth against the relevant verified identity information. CRO's VIF guidance describes matching problems caused by differences between verified details, CORE entries and existing directorships. Do not invent an abbreviated name merely to get past a validation message.
Confirm whether the director has a PPSN or an existing IPN and which route applies. CRO describes IPNs as a route for non-resident directors or beneficial owners; Irish citizens resident in the State, including part-time residents, must obtain a PPSN instead. Do not seek an IPN simply to bypass a PPSN matching problem.
If VIF verification is needed, use the current process. Since 30 April 2026, CRO requires the witness and declarant to be physically together for witnessing and signing, and rejects previous form versions received after that change. A video call is not an acceptable substitute under that update.
Use a secure channel agreed with the presenter for identity documents. A redacted description of the error is enough for an initial enquiry; do not put full identity numbers or passport copies in public messages.
6. Check officer roles, residence and genuine consent
An LTD may have one director, but a sole director must have a separate secretary. Check the proposed officers' actual roles and consent rather than copying the same person's details into every field. CRO's EEA requirement concerns residence, not merely nationality; where it is not met, the applicable bond or exemption position needs proper assessment.
Do not appoint a friend on paper simply to remove an error without explaining the responsibilities. If the return reveals a structural issue, settle the intended appointments before regenerating documents. A provider offering filing help is not automatically appointed as company secretary.
Record any genuine changes agreed during the correction process. The goal is a consistent application reflecting the intended company, not a collection of fields that happen to pass a screen.
7. Review the constitution, share details and signing requirements together
CRO requires the company name in the constitution to match Form A1 exactly. Its incorporation checklist also covers the appropriate constitution, capital provisions, subscribers and execution requirements. An LTD uses a single-document constitution; do not reuse another company type's template without review.
Read the revised documents side by side. Reconcile who subscribes for which shares and check that the document set reflects the agreement between the founders. A commercial discussion about percentages is not a substitute for checking the actual share entries.
Ask the presenter whether an amendment requires a fresh document, consent, signature or witnessing step under the current filing instructions. Do not assume that a handwritten alteration or a signature on an earlier version validates the changed version. Keep both versions clearly labelled rather than overwriting your only record.
8. Correct business activity and location information honestly
The incorporation declaration includes business-activity information. CRO's incorporation leaflet explains the principal activity classification and information about where activities and central administration will be carried on. A broad-capacity LTD still has filing information to provide.
If the query concerns activity, describe what the proposed business actually intends to do. Give the presenter a plain-language example of a typical customer and transaction, then check the classification available in the current form. Do not select a convenient code solely because another founder used it.
Distinguish the statutory registered office from a real trading location or central administration. Purchasing an address does not prove that operations take place there. Our business-activity guide explains how to prepare those answers without turning the company description into marketing copy.
9. Resubmit one complete correction and keep the evidence
Before resubmission, compare every line of the notice with the revised packet. Ask someone other than the person who made the edits to review it where practical. A useful final question is: has fixing this issue created an inconsistency elsewhere?
CRO says documents returned for correction are processed according to their resubmission date. Do not promise a customer the original place in the queue or treat a processing-date page as a guaranteed completion date.
Save the resubmission acknowledgement, final files and any clarification received. Ask the existing presenter or CRO how the original payment is treated in your particular workflow. This guide does not promise that every correction is free, that a fee is refundable or that a new paid application is always required. Resolve that question before paying again.
- Every return reason has a documented response.
- All changed names and officer details are reconciled.
- Required supporting documents and execution steps are complete.
- The deadline and resubmission acknowledgement are saved.
- One named person is monitoring the next CRO response.
10. A worked example: correcting the whole packet, not one field
Consider a fictional two-founder consultancy whose pending A1 is returned over a similar name and inconsistent director details. The founders agree a new distinctive name, but one starts editing the constitution while the other changes CORE. Both assume the other has checked the final version.
A better approach is to pause parallel edits and nominate one presenter. They record each requested correction, agree the new name, resolve the identity discrepancy through the proper route and produce one coordinated packet. If a bond is involved, its provider reviews the revised details before submission.
This is an illustration of document control, not a real CRO decision or an assurance that those steps secure acceptance. The final checklist should follow the specific notice, not this example's facts.
11. Already incorporated? Do not submit a replacement A1 in lieu
CRO's rectification guidance states that a replacement A1 cannot be filed in lieu of the A1 on which a company was incorporated, because a conclusively binding certificate has issued. Its guidance also explains the limits on administratively changing registered documents.
A genuine later change and an error in the original registered facts are different matters. Do not invent a later appointment or address change to conceal an historical mistake. Ask the presenter and, where appropriate, a solicitor which route applies. Some register rectification requires a court order; this does not mean every subsequent routine company change needs court proceedings.
Preserve the original evidence and explain exactly when the error was discovered. Paying for another formation does not correct the registered company's history and may leave you with a second company you did not intend to create.
When should you ask a formation provider for help?
Ask early if you cannot interpret the notice, several founders are editing different versions, a bond needs coordination or the proposed structure is wrong. Before buying a fresh formation package, tell the provider that an application already exists and ask whether it can assist with that file.
StartCompany.ie offers Irish company formation packages, with current inclusions and total payable shown on the package page. An existing application's review or takeover must be agreed first. This article does not promise access to another presenter's CORE workspace, a fixed-price correction service or CRO acceptance.
For an initial enquiry, provide a redacted return reason, the current application status and the deadline, without sensitive identity details. Ask what information is needed, who will submit the correction and whether any additional professional work falls outside the selected package. That gives you a clearer purchasing decision than ordering a duplicate formation in a hurry.
