A Singapore resident can form and own an Irish private company limited by shares. Irish law does not generally require an Irish shareholder, and a Singapore individual or company can usually hold 100% of the shares. The formation can normally be coordinated remotely.
The structure still needs an EEA-resident director route, Irish registered office, secretary, CRO identity information and first-year compliance. Founders managing the Irish company from Singapore should also plan tax residence, treaty evidence and intercompany transactions.

Can a Singapore Resident Own 100% of an Irish Company?
Yes. A Singapore individual, Pte Ltd or other eligible body can generally own the Irish LTD, subject to corporate authority and complete beneficial-owner information. A shareholder can be the director, but a sole director must appoint a separate secretary.
Irish share ownership does not satisfy the EEA director-residence test and does not grant Irish immigration permission. The structure should have a real commercial purpose beyond obtaining an Irish certificate.
EEA Director Rule and Section 137 Bond
An Irish company generally needs at least one director resident in the EEA. Singapore is outside the EEA. A company with only Singapore-resident directors normally uses a Section 137 bond at incorporation.

Irish and Singapore Tax Residence
Revenue generally treats an Irish-incorporated company formed on or after 1 January 2015 as Irish tax resident unless a double taxation agreement treats it as resident elsewhere. IRAS states that Singapore company tax residence depends on where control and management is exercised, not simply the place of incorporation.
IRAS identifies strategic policy and board decisions as important facts. An Irish company whose real control and management is exercised in Singapore may therefore require dual-residence and treaty analysis. Ireland and Singapore have a double taxation agreement modified by the MLI. Board minutes alone are not enough if the practical facts point elsewhere.
Treaty Benefits and Certificate of Residence
Treaty relief is not automatic merely because a shareholder lives in Singapore. IRAS issues a Certificate of Residence to certify Singapore tax residence for treaty purposes. It notes that non-Singapore incorporated companies are generally not eligible unless they can demonstrate exceptional facts, Singapore control and management, and valid reasons for foreign incorporation.
Decide whether the Irish company is intended to be genuinely managed in Ireland, Singapore or both, then align directors, authority, personnel and contracts with that model. Obtain advice before relying on reduced withholding or other treaty benefits.
Using a Singapore Company as Shareholder
A Singapore company can generally own the Irish LTD. The filing and banking records should identify the authorised representatives and ultimate beneficial owners. Intercompany services, loans, royalties and management charges require written agreements and arm's-length support.
The existence of two companies does not by itself determine where income is earned or taxed. Permanent establishment, transfer pricing, withholding tax, GST/VAT and substance should be analysed for the real operating model.
Irish Tax, RBO and Annual Compliance
Incorporation does not complete Corporation Tax, VAT or PAYE registration. VAT depends on the company's actual or intended taxable activity and evidence. Most new Irish companies must file beneficial-owner information with the RBO within five months.
The first annual return is normally made up to a date six months after incorporation and does not include financial statements. Maintain accounts, registers and governance records from day one.
