What is a Sealing Register?

A sealing register is a formal record book that documents every occasion on which the company seal is affixed to a document. If your company's constitution provides for the use of a common seal, it is best practice to maintain a sealing register to record when, why, and by whom the seal was used.

What is Recorded?

  • Date the seal was affixed
  • Description of the document sealed
  • Names of the witnesses (typically a director and the company secretary)
  • Purpose of the sealing

Why Maintain One?

While the Companies Act 2014 does not mandate a sealing register, many company constitutions require one. Maintaining a proper sealing register provides an audit trail and protects the company and its directors by demonstrating proper corporate governance.
