    What Is an Annual Return?

    Every company registered in Ireland must file an Annual Return (Form B1) with the Companies Registration Office (CRO) each year. This is a legal requirement under the Companies Act 2014 — regardless of whether the company is trading or dormant.     The annual return contains information about the company's directors, secretary, shareholders, registered office address, and share capital. It is a public document and helps maintain transparency on the company register.

    Annual Return Date (ARD)

    Every company has an Annual Return Date (ARD). For new companies, the first ARD is set at 6 months after incorporation. Subsequent ARDs are every 12 months after that.

    You must file your annual return within 56 days of your ARD. Filing late (even by one day) has serious consequences.

    What Happens If You File Late?

    Late filing carries steep penalties:

    • Late filing penalty — €100 plus €3 per day up to a maximum of €1,200
    • Loss of audit exemption — if you file late, you lose the small company audit exemption for the current and following financial year, meaning you must pay for a full statutory audit (often costing €3,000–€10,000+)
    • CRO listing — persistent non-filing can lead to the company being struck off the register
