    What is an Irish limited company (LTD)?

    An Irish LTD — Private Company Limited by Shares — is the most common business structure in Ireland. It is a separate legal entity from its owners, meaning shareholders' liability is limited to the value of the shares they hold. Introduced in its current form by the Companies Act 2014, the LTD replaced the old "Limited" private company and simplified Irish company law dramatically.

    Irish trading profits are taxed at 12.5% corporation tax — one of the lowest rates in the EU. Passive income (rent, interest) is taxed at 25%.     Ongoing obligations of an Irish LTD

    • File an annual return (Form B1) within 56 days of the Annual Return Date
    • File annual financial statements with the CRO
    • Hold an Annual General Meeting (or pass written resolutions)
    • Maintain statutory registers (members, directors, charges)
    • Notify the CRO of any change of director, secretary or registered office
    • File a Beneficial Ownership return with the RBO
