One director, a separate secretary
The Irish LTD company type can have a single director. That is different from saying the director can also be the sole secretary. Nominate a separate eligible person or discuss a professional secretary appointment. Share ownership is a different role again: a solo founder can plan the shares separately from who carries out secretarial duties. The secretary role is not merely a second name for the form, and directors remain responsible for choosing someone able to discharge it.

If your identity number, Irish address and separate secretary are already arranged, Basic may meet the core formation need. Standard adds the listed IPN and first annual-return support. Premium may fit a founder who needs the Irish registered-office and RBO services too. A paid secretary appointment is separate from those packages. If the only director lives outside the EEA, the relevant decision changes to the bond route rather than simply choosing the cheapest core filing.

Before filing, assign responsibility for the statutory records, registered-office correspondence, beneficial-ownership information and accounting records. Being the only director does not remove these tasks. A new relevant entity has five months to register beneficial ownership with the RBO; an included filing service still needs accurate information from you. Use the formation to establish a working company with clear record ownership rather than discovering the ongoing tasks when a deadline arrives.

Complete the required signatures, verification and any bond steps. The application goes to the CRO, which decides acceptance and incorporation.
Prepare for trading
Receive the incorporation documents after approval. Arrange tax registration, banking, records and the agreed post-formation services separately.
Questions before you buy
Can I be the only director, shareholder and secretary?
An LTD can have a sole director and a single shareholder, but the sole director cannot also act as the company secretary. Arrange a separate secretary before filing.
Is a professional secretary included in the formation price?
No paid secretary appointment is automatically included in the published formation packages. You can nominate an appropriate separate secretary or discuss the separately priced service.
What is included in the formation price?
Every published package includes the core incorporation documents and CRO filing fee. The full inclusions are shown with each package. Registered office, IPN support, RBO registration and the first annual return are not included in every package. A paid secretary appointment and ongoing accounting are separate services.
Can I begin without travelling to Ireland?
You can start the order and supply information remotely. Identity verification, witnessing, signatures or supporting evidence may involve additional steps. We confirm the filing requirements before submission. A bank may apply separate in-person or other verification requirements.
How long does company registration take?
Timing depends on complete documents, identity numbers, any required bond and current CRO processing. Paying for formation is not incorporation. Company names and applications remain subject to CRO approval; we do not guarantee a fixed incorporation date.
Are banking, tax registration or residence rights guaranteed?
No. Incorporation, bank approval, tax registration and personal immigration or work permission are separate. Formation does not guarantee tax savings, an account or permission to live or work in Ireland. Discuss tax-registration support separately if needed.
