Before you place your order
Your new LTD is a separate company. The formation order creates it; the sole-trader business, contracts, assets and tax registrations need their own handover plan.
Discuss my setup- Choose the shareholders, directors, separate secretary where required and registered office for the new LTD.
- Agree a proposed handover date with your accountant and identify the contracts, assets, stock and staff affected.
- Keep the old and new legal seller, invoices, bank records and tax registrations clearly identified during the change.
A setup that matches your operation
Start by forming the company you actually need
If you already trade in your own name, incorporation gives you a new legal entity rather than simply adding Limited to your existing business name. The CRO application still needs the proposed company name, office, officers, subscribers and shares. Basic may suit a straightforward filing with identity requirements and the address already covered. Standard adds its published IPN and first annual-return support, while Premium adds the registered-office and RBO services. Choose around the missing pieces in your new company setup, not the assumption that every sole-trader record moves automatically.
Official reference: CRO: incorporation requirementsAgree the handover before changing invoices
Make a list of active customer and supplier contracts, outstanding invoices, stock, equipment, domain names, licences and any employees. Decide with the appropriate advisers which items will transfer, what consent or paperwork is needed and when the LTD becomes the contracting party. The incorporation fee does not include a business-transfer agreement, asset valuation, employment transfer or tax-relief opinion. Your order can cover the new LTD while those separate tasks are scoped, so both the formation and the operational change have clear owners.
Official reference: Revenue: sole-trader and company registrationsKeep the company and personal tax identities separate
Revenue distinguishes a sole trader using their own PPSN from a company receiving its own tax reference after registration. Do not assume that the individual's registrations or invoice details simply become the company's when the CRO certificate arrives. Ask your accountant to plan the relevant company registrations, the old business's remaining returns and the correct invoicing start date. Tax-registration support can be discussed separately. The first annual return included in some formation packages is a CRO filing service, not ongoing accounting or a complete transfer of tax affairs.
Official reference: Revenue: sole-trader and company registrationsOnly add the services you need
Check the selected package first to avoid buying an included service twice. Additional services are separate orders, not preselected charges.

Choose the right scope
Check director residence, ownership, identity numbers and address needs. Ask us first about corporate shareholders or an unusual structure.
Supply the company details
Use the existing checkout to provide proposed names, officers, shareholders and activity. We review requirements and prepare the incorporation documents.
Review, sign and file
Complete the required signatures, verification and any bond steps. The application goes to the CRO, which decides acceptance and incorporation.
Prepare for trading
Receive the incorporation documents after approval. Arrange tax registration, banking, records and the agreed post-formation services separately.
Questions before you buy
Does buying formation automatically transfer my sole-trader business?
No. It creates a new Irish LTD. Existing assets, contracts, licences, registrations, debts and employee arrangements need separate review and any required transfer steps. Confirm the handover scope with the relevant advisers.
Can I keep trading as a sole trader while the LTD is being formed?
The formation order does not itself close the existing business. Agree the handover date and responsibilities with your adviser, and keep the legal seller, invoices and records of each activity clear during the transition.
What is included in the formation price?
Every published package includes the core incorporation documents and CRO filing fee. The full inclusions are shown with each package. Registered office, IPN support, RBO registration and the first annual return are not included in every package. A paid secretary appointment and ongoing accounting are separate services.
Can I begin without travelling to Ireland?
You can start the order and supply information remotely. Identity verification, witnessing, signatures or supporting evidence may involve additional steps. We confirm the filing requirements before submission. A bank may apply separate in-person or other verification requirements.
How long does company registration take?
Timing depends on complete documents, identity numbers, any required bond and current CRO processing. Paying for formation is not incorporation. Company names and applications remain subject to CRO approval; we do not guarantee a fixed incorporation date.
Are banking, tax registration or residence rights guaranteed?
No. Incorporation, bank approval, tax registration and personal immigration or work permission are separate. Formation does not guarantee tax savings, an account or permission to live or work in Ireland. Discuss tax-registration support separately if needed.
